General: Welcome to 247 LINKS Corporation doing business as 247 LINKS and or 247 LINKS.com herein known as “the Service” is a fast, exciting and convenient buying, selling, trading service. Our Service is based on trust, and this User Agreement (“Agreement”) helps promote trust and understanding between you and other users of 247 LINKS. Our service has been created to be easily accessible to all users of legal age, but it also has limitations and risks that you must be aware of before participating. Before, and as a condition of, your participation, you (hereinafter You or Yours or User) must agree to abide by 247 LINKS Terms of Service (“Terms”). By clicking on "I ACCEPT" you agree to be bound by these Terms. Amendment: 247 LINKS.com may amend this Agreement at any time by posting the amended Terms on 247 LINKS.com (the “Site”). Except as stated below, all amended Terms shall automatically be effective immediately after they are initially posted on the Site. Eligibility: Buying, selling or trading through 247 LINKS.com is available only to individuals who can form legally binding contracts under applicable law. This excludes in all cases minors (people under the age of 18). Venue Only: 247 LINKS carries on business in both the “real world” (brick and mortar) and on the Internet. 247 LINKS is not involved in any transaction between any parties who use the service. There are risks, which You assume when dealing with people who might be acting under false pretenses; all of these risks are borne by You, and not 247 LINKS. 247 LINKS.com does not control the behavior of the participants on the Site. For example, we cannot control whether or not Users of 247 LINKS.com will complete the transactions they describe on the service. You may find other Users’ information to be offensive, harmful, inaccurate, or deceptive. We do not guarantee the accuracy of information provided by other Users and made available through the service. Please use caution, common sense, and practice safe dealings when using the service. Please note that there are also risks of dealing with foreign nationals, underage persons or people otherwise acting under false pretense. IT IS EXTREMELY IMPORTANT THAT YOU USE CARE THROUGHOUT YOUR DEALINGS WITH OTHER PEOPLE ON THE SERVICE! Disputes: If there is a dispute between Users of the Site, 247 LINKS is under no obligation to become involved. In the event that You have a dispute with one or more Users, You hereby release 247 LINKS Corporation, their officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service. Refund Policy: Unless otherwise expressly stated by 247LINKS.com, all payments to 247LINKS.com shall be non-refundable. Failure of a buyer or seller to complete or fulfill a transaction with User, dissatisfaction with a transaction, fraud and other disputes regarding transactions shall not entitle User to a refund of any fees paid to 247LINKS.com. Where deemed appropriate by 247LINKS.com, 247LINKS.com may, but shall not be obligated to, extend the duration of listings, refund pro-rated fees for partial services, and/or provide credits to be applied against selected future 247 Links fees in lieu of providing a refund. In such event, the foregoing shall be User's sole and exclusive remedy, and 247 Links’ sole and exclusive liability, for failure to provide the respective service. In the event that 247 Links does offer a refund or partial refund, 247LINKS.com shall have the right to deduct credit card and other transaction and processing fees and other costs and expenses incurred by 247LINKS.com from the amount of such refund or partial refund. User Restrictions: The 247 LINKS service may be used only for lawful purposes. Transmission, distribution or storage of material or conduct in violation of any applicable local, state, federal, provincial or foreign law or regulation is prohibited. This includes without limitation any unauthorized use of material protected by patent, copyright, trademark or other intellectual property right, material that is obscene, defamatory or libelous, constitutes an illegal threat, or violates rights of privacy or publicity, or violates export control laws. You may use the information on the Site only to the extent necessary to facilitate 247 LINKS.com related transactions. You agree that you will not use any information you learn about any buyer, seller, trader or user of the Site for any purpose not necessary to complete a desired transaction. Content Policy: 247 LINKS.com prohibits the transmission, distribution or posting of unwanted or offensive content. Prohibited transmissions include, without limitation, profane or sexually explicit advertisements that include masked images or misspelled words, or images that would be illegal in any Canadian or United States jurisdiction. It is your responsibility to abide by the content policies outlined herein, and you agree to comply with all requirements, legal or other. Additional prohibitions include misleading offers that do not list the total purchase price or a "bait & switch" of products, advertisements, the sale or distribution of weapons or controlled substances, make-money fast schemes, pyramid or chain letters, fraudulent or criminal offers, including, but not limited to, registering an e-mail address other than your own, any posting with the goal of harassment of another, sexual requests (including from or to a minor), racial, ethnic or religious slurs or comments, harassment, unsolicited advertising (whether commercial or informational) and unsolicited e-mail or advertisements including, but not limited to, adult or dating services placing advertisements. Users of the service are not permitted to copy any content from 247 LINKS.com except for personal use. Users are not to sell or cause to be sold any 247 LINKS content. Further, 247 LINKS prohibits the transmission, distribution or posting of any matter which discloses personal or private information concerning any person or entity, including, without limitation, phone number (s) or addresses, credit and/or debit cards, calling card, User account numbers/passwords or similar financial information, and home phone numbers or addresses. Even though all of this is strictly prohibited, there is a small chance that Your information might be exposed in this manner and You expressly waive Your right to any damages from 247 LINKS related to such exposure. Listed Restrictions: 247 LINKS prohibits the listing or sale of any item that is illegal to sell under any applicable law, statute, ordinance or regulation including, but not limited to, the following:
Violations: If 247 LINKS in its sole discretion, determines that a violation of the Terms of Service has occurred, 247 LINKS may pursue any of its legal remedies, including, but not limited to, the filing of a complaint, the immediate deletion of any offending material from the Site, cancellation of Your account and / or the exclusion of any person(s) who may have violated any Terms. 247 LINKS may cooperate with any investigation by any Federal, State, Provincial or local body or any court or tribunal. Such cooperation may be without notice to You. If 247 LINKS believes in its sole discretion that any listing may create liability for 247 LINKS, 247 LINKS may take any actions that it believes are prudent or necessary to minimize or eliminate its potential liability, including, but not limited to, the release of User information. In sum, 247 LINKS reserves the right to refuse service to anyone at any time, and to remove any listings or any advertisements for any reason, and without notice. DISCLAIMER OF WARRANTIES: YOU AGREE THAT USE OF THE SERVICE IS AT USER'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND ON AN "AS AVAILABLE" BASIS. 247 LINKS.COM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. 247 LINKS MAKES NO WARRANTY THAT THE SERVICE WILL MEET USER'S REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR FREE, OR VIRUS FREE; NOR DOES 247 LINKS MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED FROM THE SERVICE. USER UNDERSTANDS AND AGREES THAT OBTAINING ANY INFORMATION OR MATERIAL AND/OR GOODS OR SERVICES THROUGH THE SERVICE IS DONE AT USER'S OWN DISCRETION AND RISK AND THAT USER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE RESULTING FROM ANY TRANSACTION. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY USER FROM 247 LINKS.COM OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. LIMITATION OF LIABILITY: USER AGREES THAT NEITHER 247 LINKS.COM NOR ANY OF ITS PROVIDERS OF INFORMATION SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF USER'S TRANSMISSIONS OR DATA OR ARISING FROM ANY OTHER MATTER RELATING TO THE SERVICE, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF 247 LINKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. USER FURTHER AGREES THAT 247 LINKS SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM INTERRUPTION, SUSPENSION OR TERMINATION OF SERVICE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY DAMAGES, WHETHER SUCH INTERRUPTION, SUSPENSION OR TERMINATION WAS JUSTIFIED OR NOT, NEGLIGENT OR INTENTIONAL, INADVERTENT OR ADVERTENT. USER AGREES THAT 247 LINKS.COM SHALL NOT BE RESPONSIBLE OR LIABLE TO USER, OR ANYONE, FOR THE STATEMENTS OR CONDUCT OF ANY THIRD PARTY. In summary, in no event shall 247 LINKS’ total liability
to You for all damages, losses, and causes of action exceed the amount paid
by You to 247 LINKS, if any, that is related to the cause of action. Some jurisdictions do not allow the limitation or exclusion of warranties or of liability for incidental or consequential damages so some of the above may not apply to You. Arbitration: Under this Agreement, 247 LINKS.com is not responsible for any dispute, which may arise between Users on the Site relating to any item posted for sale on the Site. 247 LINKS.com is also not liable under this Agreement for any other injury you may suffer or allege to suffer as a User of this Site. User Information: “User Information” is defined as any and all data you provide to 247 LINKS.com or other Users during the registration and through any interactive feature of the system, including e-mail. You represent and warrant that your User Information: (a) is not false, inaccurate or misleading; (b) is not fraudulent and does not involve the sale of counterfeit or stolen items; (c) does not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (d) does not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (e) is not defamatory, libelous, unlawfully threatening or unlawfully harassing; (f) is not obscene and does not contain child pornography; (g) does not contain any viruses, Trojan horses, worms, time bombs, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (h) does not create liability for us and will not cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and (i) does not link directly or indirectly to another web site. Furthermore, you may not list any item on the Site (or consummate any transaction that was initiated using our service) that, by paying to us the listing fee or the final value fee, could cause us to violate any applicable law, statute, ordinance or regulation, or that violates our current listing restrictions. Others' Information: You agree not to make use of anyone else's User Information other than as necessary to complete any 247 LINKS.com transactions in which You and the subject of the User Information are involved. No Agency: There is no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship between 247 LINKS.com and any User of the service. Waiver of Rights: The failure of 247 LINKS to exercise or enforce any right or provision of these Terms of service shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect. User agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the service or the these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
